Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website located at cryptoshift.pro and the financial auditing services provided by CryptoShift GmbH ("Company", "we", "our", or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these terms, you must not use our website or services.

We are authorised to provide financial auditing services in Austria and the European Union in accordance with applicable professional and regulatory standards.

Services Description

CryptoShift provides professional financial auditing services including but not limited to financial statement audits, internal audits, compliance audits, risk assessments, regulatory reporting, and financial advisory services. Our services are provided in accordance with International Standards on Auditing (ISA), Austrian auditing standards, and applicable EU regulations. Specific service terms and conditions will be detailed in individual service agreements.

User Obligations

When using our website or engaging our services, you agree to:

You may not reproduce, distribute, modify, or create derivative works from our content without explicit written permission. Our audit methodologies, templates, and proprietary tools remain our intellectual property. Clients receive a licence to use audit reports for their intended business purposes but may not reproduce or distribute our methodologies or proprietary content.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may incur interest charges as permitted by Austrian law. We reserve the right to suspend services for overdue accounts and to engage collection agencies or legal proceedings to recover outstanding amounts. All fees are exclusive of applicable taxes unless specifically stated otherwise.

Limitation of Liability

To the fullest extent permitted by Austrian law, CryptoShift's liability for any claims arising from our services shall be limited to the fees paid for the specific service giving rise to the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities. This limitation applies regardless of the legal theory upon which the claim is based. Our professional indemnity insurance provides additional protection as required by professional standards.

Our website and services are provided "as is" without warranties of any kind, either express or implied. While we strive to provide accurate and up-to-date information, we make no representations or warranties regarding the completeness, accuracy, or reliability of website content. Audit opinions are based on information and explanations provided by clients and testing performed in accordance with professional standards. We do not guarantee the detection of all errors, fraud, or illegal acts.

Force Majeure

We shall not be liable for any delay or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, or pandemic-related restrictions. In such cases, we will make reasonable efforts to minimise delays and communicate with clients regarding alternative arrangements.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Austria, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Austrian courts, specifically the courts of Linz, Upper Austria. For clients located in other EU member states, applicable EU regulations shall also apply as appropriate.

Dispute Resolution

We encourage clients to contact us directly to resolve any concerns or disputes. If direct resolution is not possible, disputes may be subject to mediation through a recognised Austrian mediation service before proceeding to litigation. For professional complaints, clients may also contact the relevant Austrian professional auditing body in accordance with their complaint procedures.

Termination

Either party may terminate a service engagement in accordance with the terms specified in the individual service agreement. We reserve the right to terminate services immediately if a client breaches these Terms, fails to provide necessary cooperation, or engages in conduct that compromises our professional independence or integrity. Upon termination, all outstanding fees become immediately due, and both parties remain bound by confidentiality obligations. Clients retain ownership of their records and data, subject to our professional retention requirements.

Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation (GDPR). By using our services, you acknowledge that you have read and understood our Privacy Policy. We implement appropriate technical and organisational measures to protect personal data in accordance with professional standards and legal requirements.

Modifications to Terms

We reserve the right to modify these Terms at any time by posting updated terms on our website. Material changes will be communicated to existing clients through appropriate channels. Continued use of our website or services after such modifications constitutes acceptance of the updated Terms. For ongoing service engagements, significant changes may require explicit agreement through contract amendments.

Severability

These Terms supersede all prior communications, proposals, and agreements relating to the subject matter herein.
